Terms of Service.

These Terms govern use of lisa.build and the Lisa service, operated by Lisa Build LLC, a Florida limited liability company ("Lisa," "we," "us"). By using the service, you agree to these Terms.

1. What Lisa is

Lisa is an artificial-intelligence office manager for home-service contractors ("Contractors"). She gathers the details of a job, writes proposals and contracts, sends them to the Contractor's customers, obtains electronic signatures, keeps the job's written record, follows up, relays updates, and requests and records payment. Contractors and their customers talk to Lisa by phone call, text message, WhatsApp, and email; calls and voice notes are transcribed, not stored as audio. Lisa says plainly that she is artificial intelligence whenever anyone asks. Lisa acts solely on behalf of the Contractor. Lisa is not a party to any agreement between a Contractor and that Contractor's customer, does not perform contracting work, and does not provide legal advice. Contractors are solely responsible for the accuracy of their pricing, scope, licensing, insurance, permits, and the performance of their work.

2. Accounts

You must be at least 18 and authorized to act for your business. You are responsible for activity on your account and for keeping your phone number, email, and payment method current. You agree that instructions sent from your verified phone number or email are given by you.

3. Approval and content

Lisa prepares proposals, contracts, change orders, and payment requests from the information you provide. No document, and no message that changes a price, a scope, or a date, is sent to your customer until you approve it. Once you approve a job, Lisa also sends service messages on your behalf as part of that job: receipts, reminders and follow-ups on the proposal, acknowledgements of your customer's messages, and updates you have told her to pass along. You can change, pause, or stop any of these by text at any time, and you see everything she sends. You are responsible for the content you supply, including photographs, prices, and terms, and for reviewing each document before approving it.

Change orders. A signed document is final. Any change to the scope, price, or dates of a signed job is written up as a new document and signed by both parties before the changed work proceeds.

Your customer's participation. Your customer may add information to their job - photographs, documents, an email address, questions, and the name of another person who should receive the job's messages. A person your customer adds is messaged only after that person has agreed to receive the job's messages - Lisa's first message to them identifies the job and you, and they can reply STOP at any time - and that agreement is recorded. An added person receives the job's messages in the capacity your customer states and does not gain the right to approve or sign anything by being added. Lisa may attach what your customer adds to the job and tell you about it; she never prices or promises anything on your behalf.

4. Subscription and billing

The subscription is $149 per month per company - unlimited team members, unlimited proposals, unlimited jobs, all Lisa features. There is no per-user fee, no per-proposal fee, and no AI-credit charge. Lisa does not charge a success fee or a fee merely because you win or complete a job. Processing fees are shown in dollars before every payment request. They include the payment processor’s rate (2.9% + 30¢ card; 0.8% capped at $5 bank) plus Lisa’s 1%. Payments recorded by check, Zelle, or cash have no Lisa fee. Any Lisa Payments fee is disclosed to you in dollars before you send the payment request, alongside the processor's published rate for each method; processor fees apply according to the applicable processor terms and the exact processor amount depends on the card or account your customer uses.

When the subscription starts. Lisa is $149 per month. Your subscription begins when you activate paid service; we will tell you plainly, in writing, when that begins and what it costs. We may include your first job at no charge - if we do, that will be stated to you before you are billed. It renews monthly and continues until cancelled. You may cancel at any time, including by text message to Lisa; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.

When these Terms are accepted. These Terms and the current price are presented to you at your first customer-facing send and accepted there; the presentation and your acceptance are recorded. A text from your verified phone number is your instruction, as in Section 2.

5. Payments

Customer payments through Lisa Payments are processed by Stripe for your connected account, and are settled to that account. Lisa does not take custody of ordinary job funds. Any Lisa Payments fee is disclosed to you in dollars before you send the payment request. Processing fees, payout timing, refunds, disputes, and chargebacks are governed by the payment provider's terms, which you agree to when connecting your account. You are responsible for the underlying transaction, including refunds and disputes with your customers.

6. Messaging

Contractors represent that they have obtained valid consent from each customer before that customer's number is entered into the service, and agree to comply with applicable telemarketing and messaging laws.

7. Acceptable use

Do not use Lisa to send unlawful, deceptive, harassing, or unsolicited promotional messages; to misrepresent licensing, insurance, or identity; to upload another person's information without authority; or to interfere with the service. We may suspend accounts that violate these Terms.

8. Your data

You retain ownership of your business, job, and customer information. You grant us a license to process it to operate and improve the service, as described in our Privacy Policy. We may use aggregated, de-identified information to improve the service; such use never identifies an individual Contractor, customer, or job, and one Contractor's information is never shared with another.

9. Electronic signatures

The parties consent to conduct business electronically. Electronic signatures collected through the service are intended to be valid and enforceable under applicable federal and state law. Lisa retains a signature audit record for each signed document. A customer who prefers a call may request one from the proposal page; the request goes to the Contractor.

10. Availability and disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that documents generated will satisfy any particular legal requirement in your jurisdiction. You are responsible for reviewing all documents before use.

11. Limitation of liability

To the fullest extent permitted by law, Lisa Build LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business. Our total liability arising out of or relating to the service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless Lisa Build LLC from claims arising out of your use of the service, your work for your customers, the content you supply, or your violation of these Terms or applicable law.

13. Changes and termination

We may modify the service or these Terms; material changes will be posted with a new effective date and, where appropriate, notified to you. Either party may terminate at any time. On termination you may request an export of your records.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Venue for any dispute lies in Broward County, Florida.
